"The Best of America Cash, Scan & Ride" Distributor Promotion OFFICIAL RULES

NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN THIS PROMOTION. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING.

DATES OF PROMOTION: "The Best of America Cash, Scan & Ride" Distributor Promotion (the "Promotion") begins at 12:00 a.m. Eastern Time (ET) on June 1, 2008 and ends 11:59 p.m. ET on December 31, 2008 (the "Promotion Period"), while qualifying Scan Tool Deluxe or Master Kits (the "Qualifying Product", as further defined in the "Qualifying Products" Section below) supplies last.

ELIGIBILITY: The Promotion is open to any authorized representative employed by a reseller who distributes Qualifying Products (the "Authorized Representative"). Each Authorized Representative must have a valid driver's license at the time of entry and be; (a) a legal U.S. resident residing in the 48 contiguous United States or the District of Columbia and at least 18 years of age or older with a unique, personal and valid social security number; or (b) a legal resident of Canada who is the age of majority in their province or territory of residence. Employees and their immediate family members (parents, children, siblings or spouse, regardless of where they live) or persons living in same household (whether related or not) of the OTC® Brand of SPX Corporation (the "Sponsor"), and each of their respective parent companies, divisions, contractors, subsidiaries, advertising and promotion agencies, and any others engaged in the development, production, execution or distribution of this Promotion including, but not limited to, the entities supplying the prize (the "Promotion Entities") are not eligible to participate. Promotion is void in Puerto Rico, U.S. territories and possessions outside of the 48 contiguous United States, and where ever else restricted or prohibited by law.

HOW TO PARTICIPATE: In order for an Authorized Representative to be automatically entered into the Promotion, the following must occur during the Promotion Period:

1. Product Sale: Authorized Representatives must sell to each Customer, one (1) Qualifying Product during the Promotion Period, while supplies last. There is no limit to the number of Qualifying Products an Authorized Representative may sell during the Promotion Period.

2. Customer Participation: The Customer who is sold the Qualifying Product must participate in "The Best of America Cash, Scan & Ride" Customer Contest (the "Customer Contest"), at which point they will submit the name of the Authorized Representative who sold the Qualifying Product. There is no limit to the number of Customers each Authorized Representative may be associated with throughout the Promotion Period. However, Authorized Representatives will only earn one (1) entry per individual Customer.

WINNING: On or about January 31, 2009 one (1) potential Grand Prize winner will be selected based upon the Authorized Representative who sold the Qualifying Product to the Customer who is determined as the Grand Prize winner of the Customer Contest. Odds of winning the Grand Prize are dependent upon the number of eligible Serial Numbers submitted from United States and Canadian Customers.

In the event the Grand Prize Winner of the Customer Contest is a Customer who; (a) did not provide the name of the Authorized Representative who sold them the Qualifying Product, OR (b) is a Canadian Resident who entered the Customer Contest for free and therefore did not have an Authorized Representative, a Random drawing of one (1) Grand Prize winner will be conducted from amongst all Authorized Representatives submitted in the Customer Contest. In this instance, odds of winning would be dependent upon the number of eligible Authorized Representatives submitted from both United States and Canadian Customers.

The potential Grand Prize winner of the Promotion will be notified by telephone or registered mail upon final determination of the Customer Contest Grand Prize winner. POTENTIAL WINNING NOTIFICATIONS WILL NOT BE LEFT ON ANSWERING MACHINES IF NOTIFIED BY TELEPHONE.

PRIZE: One (1) Grand Prize of a 2008 Harley Davidson® Street Bob® will be awarded having an Approximate Retail Value (the "ARV") of $15,000 USD / $14,766 CDN (Color, Options and accessories to be determined at the sole discretion of the Sponsor). Grand Prize Winner must have and provide a valid US or Canadian Driver's License and provide proof of existing Insurance Coverage (comprehensive or Liability) at time of delivery. Grand Prize winner is required to comply with all applicable federal, state, provincial and local laws, rules and regulations, including but not limited to licensing and insurance requirements. For US Residents, the Grand Prize is taxable as income and all taxes associated with the Grand Prize (including but not limited to income taxes) are the sole responsibility of the Grand Prize winner. Grand Prize winner will be solely responsible for any applicable registration, license, title and insurance fees, and any expenses not listed herein related to the receipt, possession, acceptance and use of the Grand Prize. No prize substitution or cash redemption, except at Sponsor's sole discretion due to prize unavailability for any reason and only then for prize of equal or greater value. Prize not transferable prior to award. Any difference in the stated ARV and the actual value of the Grand Prize will not be awarded. Any unclaimed prize will not be awarded.

Name of prize manufacturer is used solely for the purposes of identification of the prize. Harley-Davidson® is a registered trademark of Harley-Davidson® Corporation. No endorsement, authorization, sponsorship, or approval of vehicle manufacturer/trademark owner is intended or implied by such use

PRIZE CONDITIONS: Potential Grand Prize Winner must sign and return within seven (7) days of receipt, an affidavit/declaration of eligibility/liability/publicity release, where lawful (the "Release") and an IRS Form W-9 (US residents only) or IRS Form W-8BEN (Canadian residents only) in order to claim the prize. If potential Grand Prize Winner fails to return the signed Release and/or IRS Forms within seven (7) days of receiving it, potential Grand Prize Winner forfeits the right to the Prize (without compensation of any kind) and no alternate winner will be selected. If Potential Grand Prize Winner is a US Resident, potential Grand Prize winner's receipt of prize will be reported as income to the Internal Revenue Service. In the event it is deemed during the verification process that potential Grand Prize Winner does not have a unique, personal and valid social security number for Sponsor to report the tax liability associated with acceptance of the prize, potential Grand Prize Winner will be disqualified and another winner selected as outlined above. Valid social security numbers will be determined by IRS requirements. Potential Grand Prize Winner consents to Sponsor's use of his/her name, likeness, biographical information, voice and other indicia of persona in advertising/trade/promotional/publicity materials worldwide without notice or additional compensation (TN residents will not be required to sign a publicity release as a condition of winning the prize).

GENERAL: By participating, Authorized Representatives agree: [a] to abide by and be bound by these official rules and decisions of Sponsor and judges which shall be final and binding in all respects relating to the Promotion, including without limitation the interpretation of these official rules; and [b] to release, discharge and hold harmless Sponsor, its franchisees, licensees, subsidiaries, affiliates, advertising agencies, promotional agencies and suppliers and any other individual or company involved in the development or execution of the Promotion (and their respective officers, directors, employees, agents, shareholders and representatives) from any and all injuries, liability, losses, damages, rights, claims and actions of any kind including liability for personal injury or death resulting from their participation in the Promotion or their acceptance, receipt, possession, use or misuse of the prize. Sponsor makes no warranty, representation or guarantee on the prize. Submissions that contain false information, are incomplete, inaccurate or are otherwise forged, defective, or made outside authorized channels, shall be void. Sponsor, its licensees, subsidiaries, affiliates, advertising agencies, promotional agencies and suppliers and any other individual or company involved in the development or execution of the Promotion and their respective directors, officers, shareholders, agents, representatives, and employees are not responsible and shall not be liable for lost, late, misdirected, illegible, or damaged Submissions whether due to system errors or failures, faulty transmissions or other telecommunications malfunctions, Submissions not received resulting from any hardware or software failures of any kind, lost or unavailable network connections, failed, incomplete or garbled computer transmissions, typographical or system errors and failures, faulty transmissions, technical malfunctions, or otherwise; or any condition caused by events beyond the control of the Sponsor that may cause the Promotion to be disrupted or corrupted. Sponsor may prohibit a Authorized Representative from participating in the Promotion or winning the prize if, in its sole discretion, subject to the approval of the RACJ in Quebec, it determines that said Authorized Representative is attempting to undermine the legitimate operation of the Promotion by cheating, hacking, deception, or other unfair playing practices or intending to annoy, abuse, threaten or harass any other Authorized Representatives, Sponsor, or Promotion Entities. If for any reason this Promotion is not able to be conducted as planned, including, but not limited to, by reason of infection by computer virus, bugs, tampering, unauthorized intervention, fraud or any other causes beyond the control of Sponsor which corrupt or affect the administration, security, fairness, integrity or proper conduct of the Promotion, then Sponsor reserves the right subject to the approval of the Régie at its sole discretion to cancel, terminate, modify or suspend the Promotion and judge from those eligible Submissions received up to the cancellation/suspension date. For Quebec residents, any litigation respecting the conduct or organization of a publicity contest may be submitted to the Régie des alcools, des courses et des jeux for a ruling. Any litigation respecting the award of a prize may be submitted to the Régie only to help the parties reach a settlement.
