PLEASE NOTE: RESIDENTS OF CANADA MAY OBTAIN INSTRUCTION FOR ENTRY VIA THE "CANADA ENTRANTS" OFFICIAL RULES LOCATED AT www.cashscanandridecontest.com.

DATES OF PROMOTION: "The Best of America Cash, Scan & Ride" Customer Contest (the "Promotion") begins at 12:00 a.m. Eastern Time (ET) on June 1, 2008 and ends 11:59 p.m. ET on December 31, 2008 (the "Promotion Period), subject to the hours of operation of participating resellers who sell qualifying Scan Tool Deluxe or Master Kits (the "Qualifying Product", as further defined in the "Qualifying Products" Section below), while supplies last.

ELIGIBILITY: The Promotion is open to legal U.S. residents residing in the 48 contiguous United States or the District of Columbia who are at least 18 years of age or older with a unique, personal and valid social security number and legal residents of Canada who are the age of majority in their province or territory of residence, each of who must have a valid driver's license at the time of entry (the "Entrant"). PLEASE NOTE: RESIDENTS OF CANADA MUST ENTER IN ACCORDANCE WITH THE CANADA ENTRANT OFFICIAL RULES AVAILABLE AT www.cashscanandridecontest.com. Employees and their immediate family members (parents, children, siblings or spouse, regardless of where they live) or persons living in same household (whether related or not) of the OTC® Brand of SPX Corporation (the "Sponsor"), and each of their respective parent companies, divisions, affiliates, contractors, subsidiaries, distributors, sales representatives, retailers, advertising and promotion agencies, and any others engaged in the development, production, execution or distribution of this Promotion including, but not limited to, employees of participating resellers and the entities supplying the prize (the "Promotion Entities") are not eligible to participate. Promotion is only valid in the 48 contiguous United States and Canada. Promotion is void in Puerto Rico, U.S. territories and possessions outside of the 48 contiguous United States, and where ever else restricted or prohibited by law.

HOW TO ENTER (US Residents): In order to receive one (1) entry into the Promotion, Entrants located in the United States must complete all of the following steps (collectively, the "Contest Submission"):

1. Product Purchase: Purchase, from any participating reseller during the Promotion Period, one (1) Qualifying Product in order to obtain a Rebate Coupon, while supplies last.

2. Complete & Submit the Rebate Coupon: Locate the Rebate Coupon found inside the packaging of the Qualifying Product in which you purchased. Then fill out the Rebate Coupon in its entirety, including, your full name, company name, shipping address (no PO Boxes), city, state, zip code, telephone and fax number (including area code), email address, distributor where you purchased the Qualifying Product, the name of the Sales Representative who sold you the Qualifying Product, distributors complete address, date of purchase and serial number found upon the Qualifying Product in which you purchased. Then, mail the completed Rebate Coupon (along with a copy of your original receipt) to: SPX Corporation, Box 995, Owatonna, MN 55060. Must be postmarked by January 2, 2009 and received by January 9, 2009 for Contest Submission to be eligible. Sponsor not responsible for lost, late, misdirected, illegible, or damaged Rebate Coupons. Be sure to retain copies for your records. PLEASE NOTE: When submitting the Online Contest Entry Form, you will be required to enter the serial number found in the upper left hand corner of the Rebate Coupon (as outlined below). Submission of a Rebate Coupon is REQUIRED as part of your Contest Submission, but does not guarantee the receipt of a Rebate. Please refer to Rebate Coupon for Rebate offer terms and conditions.

3. Complete the Online Contest Entry Form: Visit www.cashscanandridecontest.com during the Promotion Period and click on the "USA" link. Then click on "Register to Win" in order to be automatically directed to the official entry form. When prompted, complete the official entry form in its entirety including your full name, home address, city, state, zip code, daytime telephone number (including area code), date of birth, and valid email address. Then submit the serial number (numbers only) found in the upper left hand corner of the Rebate Coupon and press the "Submit" button in order to be automatically directed to the Questionnaire. Entry forms specifying an invalid, non-working, or inactive email address will be disqualified and the Entrant who submitted such entry form will be ineligible to win.

4. Complete the Questionnaire: In the entry fields provided, submit your answer to each of the ten (10) Automotive Diagnostic related questions found on the Questionnaire. Once you have answered each of the ten (10) questions, press the "Submit" button in order to finalize your Contest Submission and receive into the Promotion.

Limit of one (1) Contest Submission per Entrant. You must complete the entire Contest Submission process in order to be eligible for the Promotion. If you abort the online Contest Submission process before it is complete, you will not be eligible to win. In the event of a dispute regarding the identity of the Entrant submitting a Contest Submission, the Contest Submission will be deemed submitted by the authorized account holder of the e-mail address submitted at the time of entry. The authorized account holder is the natural person who is assigned to the e-mail address by an Internet access provider, online service provider or other organization that is responsible for assigning e-mail addresses, or the domain associated with the submitted e-mail address. Potential winning Entrant may be required to show proof of being the authorized account holder. Late Contest Submissions or Contest Submissions sent via regular mail will not be accepted. Any attempt by any Entrant to obtain more than the stated number of Contest Submissions by using multiple/different e-mail addresses, identities, registrations, logins, and/or any other methods will void that Entrant's Contest Submission, that Entrant may be disqualified from the Promotion, and any prizes won by such Entrant may be forfeited. Neither the Sponsor nor Promotion Entities will verify receipt of Contest Submissions for Entrants. All Contest Submissions become the sole property of Sponsor and will not be returned. Sponsor and Promotion Entities are not responsible for lost, late, misdirected, illegible, or damaged entries. Entrants warrant and represent that; (a) their Contest Submission does not violate applicable law; and (b) that the Contest Submission does not contain any disabling device, virus, worm, back door or other disruptive or malicious code that may or are intended to impair their intended performance or otherwise permit unauthorized access to, hamper, delete or damage any computer system, software, network or data.

WINNING: There will be at least one (1) phase of judging in the Promotion which will include the judging of all eligible Contest Submissions received from BOTH United States Entrants and Canada Entrants (combined). All judging phases will be under the supervision of an independent panel of judges, whose decisions are final in all matters relating to the Promotion. The Grand Prize winner will be determined as follows:

1. Phase 1: On or about January 10, 2009, each eligible Questionnaire will be graded by the Sponsor in order to determine the number of questions that were correctly answered within the Questionnaire. The Entrant who submitted the Questionnaire with the most correct answers will be determined the potential Grand Prize winner of the Promotion. In the event of a tie, the Entrants involved will be deemed as a Semi-Finalist and required to participate in Phase 2.

2. Phase 2: On or about January 31, 2009, each Semi-Finalist, will be sent an e-mail notification via the e-mail address provided at the time of Entry in order to participate in Phase 2. In order to be eligible for Phase 2, each Semi-Finalist must click on the hyperlink included in the e-mail notification and submit via the online entry form, an essay (in less than 500 words), describing the diagnostic solution to the Sponsor supplied diagnostic issue. (the "Essay"). Each Essay must be supplied within three (3) business days of receiving the e-mail notification in order to be eligible for the Second Phase of Judging. All eligible Essays submitted in Phase 2 will be judged by a qualified panel of judges on the basis of the following criteria; (a) Accuracy (50%); (b) Professionalism of Diagnostic Approach (25%); and (c) Creativity (25%). In the event of a tie within Phase 2, the Essays involved will be re-judged by an additional judge who will serve as a tiebreaker and evaluate such tied Essays according to the criteria listed above.

The potential Grand Prize winner will be notified by telephone or registered mail upon completion of judging. POTENTIAL GRAND PRIZE WINNING NOTIFICATIONS WILL NOT BE LEFT ON ANSWERING MACHINES IF NOTIFIED BY TELEPHONE.

PRIZE: One (1) Grand Prize of a 2008 Harley Davidson® Street Bob® will be awarded having an Approximate Retail Value (the "ARV") of $15,000 USD / $14,766 CDN (Color, Options and accessories to be determined at the sole discretion of the Sponsor). Grand Prize Winner must have and provide a valid US or Canadian Driver's License and provide proof of existing Insurance Coverage (comprehensive or Liability) at time of delivery. Grand Prize winner is required to comply with all applicable federal, state, provincial and local laws, rules and regulations, including but not limited to licensing and insurance requirements. For US Residents, the Grand Prize is taxable as income and all taxes associated with the Grand Prize (including but not limited to income taxes) are the sole responsibility of the Grand Prize winner. Grand Prize winner will be solely responsible for any applicable registration, license, title and insurance fees, and any expenses not listed herein related to the receipt, possession, acceptance and use of the Grand Prize. No prize substitution or cash redemption, except at Sponsor's sole discretion due to prize unavailability for any reason and only then for prize of equal or greater value. Prize not transferable prior to award. Any difference in the stated ARV and the actual value of the Grand Prize will not be awarded. All prizes will be awarded.

Name of prize manufacturer is used solely for the purposes of identification of the prize. Harley-Davidson® is a registered trademark of Harley-Davidson® Corporation. No endorsement, authorization, sponsorship, or approval of vehicle manufacturer/trademark owner is intended or implied by such use

PRIZE CONDITIONS: Potential Grand Prize Winner must sign and return within seven (7) days of receipt, an affidavit/declaration of eligibility/liability/publicity release, where lawful (the "Release") and an IRS Form W-9 (US residents only) or IRS Form W-8BEN (Canadian residents only) in order to claim the prize. If potential Grand Prize Winner fails to return the signed Release and/or IRS Forms within seven (7) days of receiving it, potential Grand Prize Winner forfeits the right to the Prize (without compensation of any kind) and the Semi-Finalist whose Questionnaire or Essay contained the next highest score will be selected as outlined in the "Winning" Section. If Potential Grand Prize Winner is a US Resident, potential Grand Prize winner's receipt of prize will be reported as income to the Internal Revenue Service. In the event it is deemed during the verification process that potential Grand Prize Winner does not have a unique, personal and valid social security number for Sponsor to report the tax liability associated with acceptance of the prize, potential Grand Prize Winner will be disqualified and another winner selected as outlined above. Valid social security numbers will be determined by IRS requirements. Potential Grand Prize Winner consents to Sponsor's use of his/her name, likeness, biographical information, voice and other indicia of persona in advertising/trade/promotional/publicity materials worldwide without notice or additional compensation (TN residents will not be required to sign a publicity release as a condition of winning the prize).

GENERAL: By participating, Entrants agree: [a] to abide by and be bound by these official rules and decisions of Sponsor and judges which shall be final and binding in all respects relating to the Promotion, including without limitation the interpretation of these official rules; and [b] to release, discharge and hold harmless Sponsor, its franchisees, licensees, subsidiaries, affiliates, advertising agencies, promotional agencies and suppliers and any other individual or company involved in the development or execution of the Promotion (and their respective officers, directors, employees, agents, shareholders and representatives) from any and all injuries, liability, losses, damages, rights, claims and actions of any kind including liability for personal injury or death resulting from their participation in the Promotion or their acceptance, receipt, possession, use or misuse of the prize. Sponsor makes no warranty, representation or guarantee on the prize. Contest Submissions that contain false information, are incomplete, inaccurate or are otherwise forged, defective, or made outside authorized channels, shall be void. Sponsor, its licensees, subsidiaries, affiliates, advertising agencies, promotional agencies and suppliers and any other individual or company involved in the development or execution of the Promotion and their respective directors, officers, shareholders, agents, representatives, and employees are not responsible and shall not be liable for lost, late, misdirected, illegible, or damaged Contest Submissions whether due to system errors or failures, faulty transmissions or other telecommunications malfunctions, Contest Submissions not received resulting from any hardware or software failures of any kind, lost or unavailable network connections, failed, incomplete or garbled computer transmissions, typographical or system errors and failures, faulty transmissions, technical malfunctions, or otherwise; or any condition caused by events beyond the control of the Sponsor that may cause the Promotion to be disrupted or corrupted. Sponsor may prohibit a Entrant from participating in the Promotion or winning the prize if, in its sole discretion, subject to the approval of the RACJ in Quebec, it determines that said Entrant is attempting to undermine the legitimate operation of the Promotion by cheating, hacking, deception, or other unfair playing practices or intending to annoy, abuse, threaten or harass any other Entrants, Sponsor, or Promotion Entities. If for any reason this Promotion is not able to be conducted as planned, including, but not limited to, by reason of infection by computer virus, bugs, tampering, unauthorized intervention, fraud or any other causes beyond the control of Sponsor which corrupt or affect the administration, security, fairness, integrity or proper conduct of the Promotion, then Sponsor reserves the right subject to the approval of the Régie at its sole discretion to cancel, terminate, modify or suspend the Promotion and judge from those eligible Contest Submissions received up to the cancellation/suspension date. For Quebec residents, any litigation respecting the conduct or organization of a publicity contest may be submitted to the Régie des alcools, des courses et des jeux for a ruling. Any litigation respecting the award of a prize may be submitted to the Régie only to help the parties reach a settlement.
